Terms and Conditions

1. Introduction and acceptance
Modiv EDU is a service of PE Venture Group, LLC. These Terms and Conditions (the "Terms") govern your use of the Modiv EDU website and application. In these Terms, "Modiv EDU", "we" and "us" mean PE Venture Group, LLC in its operation of the Modiv EDU service, and "you" means the person using the Platform.
You accept these Terms when you create an Account, by selecting Sign Up on a page that links to these Terms and the Privacy Policy. If your Account was created for you through an invitation, you accept these Terms when you first use the Platform. If we ask you to accept an updated version, you accept it by selecting I Accept. If you do not accept these Terms, you may not use the Platform.
These Terms carry a version number and an effective date, shown above, and we may update them as described in section 15.
2. Definitions
These terms have the same meaning wherever they appear in these Terms and in the Privacy Policy.
- Platform: the Modiv EDU website and application.
- Account: your individual account on the Platform.
- Micro-Credential: a credential issued by Modiv EDU on the basis of assessed work.
- Submission: work you upload for assessment against a Micro-Credential.
- Personal Subscription: a paid subscription purchased by an individual, billed monthly or annually.
- Credit: a credit purchased by an individual and spent to attempt 1 Micro-Credential.
- Earning Window: the 60-day period that opens when you spend a Credit, within which you may attempt the Micro-Credential it was spent on.
- Recovery Period: the 7-day period during which you keep access while we retry a failed renewal payment.
- Content: anything you upload, submit or post to the Platform.
3. Eligibility and Accounts
You must be 18 or older to create an Account or to make a purchase. This is the same age requirement stated in the Privacy Policy under Age Requirement.
When you register you must give accurate information, and you may register only a single Account for yourself. Access provided to you by a school, district or other organization is separate, and is governed by the agreement with that organization.
You may add a secondary email address to your Account alongside your primary address. You are responsible for maintaining access to every email address associated with your Account, because we use them to reach you about your Account, your Submissions and your purchases.
You are responsible for keeping your password confidential and for all activity that takes place under your Account. Tell us promptly if you believe someone else has gained access to it.
4. The service and plans
4.1 What the Platform does
The Platform lets you work towards Micro-Credentials. You choose a Micro-Credential, prepare and upload a Submission, and your work is assessed against the published criteria for that Micro-Credential. Where the assessment is successful, we issue the Micro-Credential to your Account.
4.2 Free and paid access
Modiv EDU is offered on a freemium basis. Some features are available at no cost; others require a paid Personal Subscription or Credits. What is included in each plan is shown in the Platform at the point of purchase.
4.3 Personal Subscription
A Personal Subscription is billed monthly or annually, at the price shown at checkout, and renews automatically at the end of each billing period until you cancel it. We do not offer a free trial. You may hold 1 Personal Subscription per Account. Your first paid subscription includes 1 Credit.
4.4 Credits
Credits are bought as a one-time payment, 1 to 10 at a time, at the price shown at checkout. A Credit is spent when you use it to attempt a Micro-Credential.
Once spent, a Credit is not returned. This applies even where the attempt does not result in a Micro-Credential being issued.
Spending a Credit opens an Earning Window of 60 days. Within that window you may make a limited number of attempts at that Micro-Credential; the number is set for each Micro-Credential and is 3 unless stated otherwise. When the Earning Window closes, the Credit is exhausted and your access to that Micro-Credential ends.
Unspent Credits do not expire.
4.5 Taxes
Prices are shown exclusive of tax. Any applicable sales tax is calculated at checkout from the billing address you provide and added to the amount charged.
4.6 Changing between monthly and annual billing
You may switch between monthly and annual billing from your billing settings. The change takes effect at your next renewal: you are not charged immediately, and the period you have already paid for is not pro-rated.
4.7 Cancelling
You may cancel a Personal Subscription at any time from your billing settings. Cancellation takes effect at the end of the period you have already paid for. You keep full access until then, and there is no pro-rated refund for the remainder of that period.
When that period ends, your Account returns to the free plan. Micro-Credentials you have already earned remain with your Account, and unspent Credits are preserved: they become available again if paid access resumes.
4.8 Refunds
Payments are not refunded except as described in this section. Refunds are not available in the Platform: to ask for one, contact us at support@modivedu.com, and we will review your request.
- Credits. We may refund some or all of the unspent Credits from a single purchase. A refund removes those same Credits from your Account. A spent Credit is not refunded (section 4.4).
- Personal Subscription. We refund a subscription payment only in full, for the whole billing period it paid for; we do not make partial or pro-rated refunds. If we refund the payment for your current billing period, we also end your paid access at the same time, and your Account returns to the free plan. If the refunded payment included your first Credit (section 4.3), that Credit is removed if it is unspent; if it has been spent, we review the request individually.
Refunds are made to the original payment method. Nothing in this section limits any right to a refund that you have under applicable law.
4.9 If a payment fails
If a renewal payment fails, we will attempt to take it again, and you keep access during a Recovery Period of 7 days. If the payment is not recovered within that period, the Personal Subscription ends and your Account returns to the free plan. You cannot buy additional Credits while a payment is in recovery.
4.10 Payment disputes and chargebacks
If you dispute a payment with your bank or card issuer, we may pause what that payment paid for while the dispute is open. That can include:
- freezing unspent Credits bought with that payment, so that they cannot be used to start an attempt;
- for a subscription payment, pausing your paid access and your ability to cancel, resume or change your billing cadence;
- blocking new Credit purchases.
A dispute does not close your Account or remove Micro-Credentials you have already earned.
If the dispute is decided in our favor, what was paused is restored. If it is decided in your favor, the Credits and access that payment paid for are not restored, and after a subscription payment dispute your paid access, plan changes and Credit purchases may stay paused until we resolve the matter with you.
If you have a problem with a charge, please contact us at support@modivedu.com before you dispute it; we can often resolve it faster.
4.11 Price changes
We may change the price of a Personal Subscription or of Credits. A change to a Personal Subscription applies from your next renewal, a change to the price of Credits applies only to Credits bought after the change, and we will tell you in advance.
4.12 Access granted by Modiv EDU
We may grant paid access for support or goodwill reasons. Access granted in this way is not a purchase: it carries no refund, it cannot be cancelled by you, and it runs until the end of the term we set.
4.13 Changes to the service
We may change or discontinue features of the Platform. Where a change materially reduces what a paid plan provides, we will tell you in advance.
5. Acceptable use
When you use the Platform you must not:
- share your Account with anyone else, or let anyone else use it;
- upload Content that is unlawful, that infringes someone else's rights, or that you do not have the right to share;
- scrape, copy or systematically extract material from the Platform;
- reverse engineer, decompile or otherwise attempt to derive the source code of the Platform;
- interfere with the operation or security of the Platform, or with anyone else's use of it;
- misrepresent who you are, or your relationship with any person or organization.
Breaking these rules can lead to suspension or termination of your Account under section 14.
6. Academic integrity and AI use
The work you submit must be your own. Misuse of artificial intelligence in preparing a Submission can void a Micro-Credential, whether it is discovered before or after the Micro-Credential is issued.
The Modiv EDU AI Integrity Statement sets out in full what is and is not permitted. It is incorporated into these Terms by reference, so its rules are binding on you through your acceptance of these Terms. It is also surfaced in the submission flow, so that the rules are in front of you at the point where they apply.
7. Your Content and Submissions
You keep the rights in the work you submit. Nothing in these Terms transfers ownership of your Content to us.
You grant Modiv EDU a licence to host, store, process, assess and display your Submissions to the extent needed to provide the service: to carry out the assessment, to issue and verify a Micro-Credential, and to show your work back to you.
You are responsible for having the rights to everything you upload, including any third-party material contained in a Submission.
How long we keep your Submissions is described in the Privacy Policy, under Data Retention.
8. Micro-Credentials
A Micro-Credential issued by Modiv EDU records that you made a Submission and that it was assessed as meeting the published criteria for that Micro-Credential. It is not a licence, it is not a qualification awarded by a public authority, and it is not a guarantee of any professional outcome.
We may revoke a Micro-Credential where it was issued in error, or where it was obtained in breach of section 6.
You may display and share the Micro-Credentials you earn, including on a public profile.
Micro-Credentials you have already earned remain with your Account if your paid access ends or your Account returns to the free plan.
Use of your name, image or words in Modiv EDU marketing is not covered by these Terms. We will ask for your agreement separately, at the time.
9. Our intellectual property
The Platform, the material we publish on it, and the Modiv EDU name and marks belong to Modiv EDU or to our licensors. We grant you a limited, personal and non-transferable licence to use the Platform while you hold an Account and in accordance with these Terms.
If you send us feedback or suggestions about the Platform, we may use them without any obligation to you.
10. Third-party services
The Platform relies on third-party services. Payments are processed by Stripe, Inc.: when you make a purchase you are taken to a checkout page hosted by Stripe and enter your card details there, so your card details are never received or stored by Modiv EDU. Your purchase is also subject to Stripe's own terms and privacy policy.
We are not responsible for third-party sites or services, or for their content. What we share with third parties, and why, is described in the Privacy Policy under Service Providers and How We Share Information.
11. Privacy and communications
How we handle personal information is governed by the Privacy Policy, which forms part of your agreement with us.
We send you messages about your Account, your Submissions and your payments, including receipts, renewal notices and payment failure notices. These are service messages, not marketing, and we send them for as long as you hold an Account or a paid plan.
Marketing communications are separate and optional. You choose whether to receive them, they are never a condition of using the Platform, and you can opt out at any time.
12. Disclaimers
The Platform is provided as is. We do not guarantee that it will be available without interruption or free of errors, and we do not guarantee any educational, employment or professional outcome from earning a Micro-Credential.
13. Limitation of liability
To the fullest extent permitted by law:
- Modiv EDU is not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or opportunity, arising out of or relating to these Terms or your use of the Platform, even if we were told such losses were possible.
- Our total liability for all claims arising out of or relating to these Terms or the Platform is limited to the greater of (a) the amounts you paid us for the Platform in the 12 months before the event that gave rise to the claim, and (b) US $100.
Some jurisdictions do not allow some of these exclusions or limits, so they apply to you only as far as your local law permits. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited by law.
14. Suspension and termination
You may ask us to close your Account at any time.
We may suspend or terminate your Account if you break these Terms, including the acceptable use rules in section 5 and the integrity rules in section 6.
Micro-Credentials you have already earned remain with your Account, as described in section 8.
15. Changes to these Terms
We may update these Terms. Each version carries a version number and an effective date.
Where a change is material, including a change to pricing terms, to refunds, or to how Micro-Credentials are handled, we will notify you and ask you to accept the updated Terms before you continue to use the Platform. Minor clarifications are published with an updated version number and effective date.
